Asset Management Associate (Private Equity Funds)
The Los Angeles office of Willkie Farr & Gallagher LLP is seeking associates with 2 - 6 years of fund formation experience, with a focus on private equity funds and/or fund of funds work. Responsibilities will include representing a number of leading private equity firms, and providing a full range of legal services to private equity funds and other pooled investment vehicles.
We are seeking associates with sponsor or lender side finance experience. The ideal candidate will have experience at a peer firm representing lenders (investment and commercial banks, business development companies or other providers of debt financing) and/or borrowers(including private equity sponsors) in sophisticated financings for acquisitions, buyouts, restructurings, special situations and other corporate finance transactions. We will not be considering candidates in other practice areas who are looking to retool.
Corporate Associate (Private Equity and/or M&A)
Willkie's Corporate & Financial Services Department is seeking several associates (2nd year and above) to join its top-tier, thriving corporate practice. Willkie is a platform that provides corporate associates with an opportunity for early responsibility and is looking for self-starters looking for experience across the spectrum of corporate transactions, including private equity, M&A, capital markets and SPAC-related transactions. Ideally, candidates will come to us with a year or two of experience in supervising due diligence, drafting and negotiating acquisition agreements and ancillary transaction documents, and managing closing transactions. This is an opportunity for immediate and significant corporate work with one of the strongest corporate practices in the market. The candidate can be based in our Los Angeles, Palo Alto, or San Francisco offices.
Our Los Angeles office would also consider candidates with 3-6 years of experience in growth equity investments.
Executive Compensation & Employee Benefits Associate
We are seeking mid-level to senior associates with three to six years of experience to advise clients on a diverse range of executive compensation and employee benefits aspects of corporate transactions, including industry-defining mergers, acquisitions, and joint ventures. Experience advising companies with respect to the negotiation and drafting of executive employment agreements is ideal.
Private Clients Associate

Willkie is seeking a tax associate with 2-4 years of experience to join their Los Angeles tax practice, which focuses heavily on tax planning for entertainment industry clients, including actors, musicians, and production companies. Ideal candidate has prior accounting experience (preferred, but not required). Transactional work includes joint ventures, structuring transactions for production companies and talent, tax advice regarding mergers and acquisitions, including sales of entertainment businesses and music catalogues.
